Business information

Company Information. LemonSound Inc. (CEO: Sinjeong Park; the "Company") is located at 1502, 518 Teheran-ro, Gangnam-gu, Seoul, Republic of Korea, and is registered under Business Registration No. 635-88-02739. Customer inquiries and dispute resolution may be directed to legal@lemonsound.co, and the Company's mail-order sales registration number is posted at the bottom of the Service.

Article 1 (Purpose)

These Terms of Service ("Terms") govern the conditions and procedures for use of all services provided by the Company, including the Subscription Service, Marketplace, Contests, Music Sourcing, 1:1 Matching, Enterprise Licensing, AI Music, and the Artist Platform (collectively, the "Service"), as well as the rights, obligations, and responsibilities of the Company and Users, and other necessary matters.

Article 2 (Definitions)

"Service" means all functions provided by the Company, including the Subscription Service, Marketplace, Contests, Sourcing, Matching, Enterprise Licensing, AI Music, and the Artist Platform. "Content" means musical works, sound recordings, and related metadata distributed through the Service. "License" means the permission granted by the Company or an Artist authorizing a Buyer to use Content, the type and scope of which are set forth in the License Terms under the Buyer Terms. "Buyer" means a member who acquires a License to use Content, and "Artist" means a member who registers Content and grants Licenses. Terms specific to an individual service are defined in the applicable individual policy document.

Article 3 (Effect and Amendment of the Terms)

The Company may amend these Terms to the extent such amendment does not violate the Act on the Regulation of Terms and Conditions or other applicable laws. Amendments will be announced at least 7 days before their effective date (or at least 30 days before, if the amendment is disadvantageous to Users). Continued use of the Service after the effective date constitutes acceptance of the amended Terms.

Article 4 (Types and Content of Services)

The Service consists of the Subscription Service (see the Subscription & Payment Terms), the Marketplace (see the License Terms), Contests, Sourcing, and Matching (see the Project Terms), Enterprise Licensing (see the License Terms), AI Music (see the AI Content Policy), and the Artist Platform (see the Artist Agreement and the Settlement Policy).

Article 5 (Formation of the Service Agreement)

The service agreement is formed when a User agrees to these Terms, applies for membership, and the Company accepts such application. Acceptance may be withheld where an applicant does not use their real name, uses another person's identity, or provides false information. Where a minor under the age of 19 uses a paid service, consent of a legal guardian is required, which the Company may verify through payment information, among other means. (Matters relating to the personal information of children under the age of 14 are governed separately by Article 3 of the Privacy Policy.)

Article 6 (Changes to Member Information and Account Management)

Members are responsible for managing their account and password. Registration eligibility and identity-verification procedures for Artist members are set forth in the Artist Agreement.

Article 7 (User Obligations and Prohibited Conduct)

Users must not register false information, misappropriate another person's information, infringe the intellectual property rights of third parties, use Content without a valid License or beyond the scope of a granted License (see the License Terms for the specific scope), or transfer their right to use the Service without authorization.

Article 8 (Obligations of the Company)

The Company shall comply with applicable laws and endeavor to provide the Service in a stable manner, and shall maintain a security system to protect personal information and publish and comply with its Privacy Policy.

Article 9 (Content and Intellectual Property)

The Company does not acquire copyright in Content, and unless a separate assignment agreement is executed, copyright remains with the Artist. Artists must represent and warrant that they hold the necessary rights when registering Content (see the Artist Agreement), and the rights acquired by a Buyer constitute a license to use, not ownership (see the License Terms).

Article 10 (Use of and Payment for Paid Services)

Payment methods and the renewal and cancellation of subscriptions are set forth in the Subscription & Payment Terms, and project-based services are additionally governed by the Project Terms.

Article 11 (Withdrawal of Offer and Refunds)

Users may withdraw their offer within 7 days of payment in accordance with the Act on Consumer Protection in Electronic Commerce. However, withdrawal may be restricted where a User has substantially commenced use of Content, such as by downloading or streaming it, or under other grounds set forth in applicable law, and the specific procedures and timelines are set forth in the Subscription & Payment Terms.

Article 12 (Artist Settlement)

The Company distributes a portion of the revenue generated from Licenses to Artists, and the distribution structure, payment cycle, and tax withholding are set forth in the Settlement Policy.

Article 13 (Changes to and Suspension of the Service)

The Company may change the Service for operational or technical reasons and may temporarily suspend the Service for unavoidable reasons such as system maintenance.

Article 14 (Restriction of Use and Termination)

Users may apply to withdraw their membership at any time. The Company may restrict use in stages where a User engages in prohibited conduct or violates an individual policy, and may restrict use without prior notice where urgent grounds exist, such as copyright infringement. Sanctions against and termination of Artist accounts are set forth in the Artist Agreement.

Article 15 (Damages and Limitation of Liability)

The Company acts as an intermediary for License transactions between Artists and Buyers and does not assume the representations and warranties that an Artist bears with respect to the quality or legality of Content. To the extent permitted by applicable law, the Company's aggregate liability to a User shall not exceed the amount such User paid to the Company in the 12 months preceding the incident giving rise to the claim, provided that this limitation does not apply to damages arising from the Company's willful misconduct or gross negligence. This Article shall be interpreted and applied so as not to unfairly favor the Company or unfairly disadvantage Users, in accordance with the Act on the Regulation of Terms and Conditions.

Article 16 (Protection of Personal Information)

The categories of personal information collected, the purposes of use, and the retention period are set forth in the Privacy Policy, which is published separately from these Terms.

Article 17 (Relationship with and Priority of Individual Policies)

The License Terms, Subscription & Payment Terms, Artist Agreement, Settlement Policy, Project Terms, AI Content Policy, Copyright Policy, and Privacy Policy (collectively, the "Individual Policies") form part of these Terms. Where these Terms conflict with an Individual Policy, the Individual Policy shall prevail with respect to the relevant service, unless prohibited by applicable law. The Company may add or amend Individual Policies as the Service expands without amending these Terms.

Article 18 (Notices)

The Company shall provide notice through a User's registered email address or through in-Service notices. Notice to an unspecified number of Users may be given by posting for at least one week in lieu of individual notice.

Article 19 (Dispute Resolution and Jurisdiction)

These Terms are governed by the laws of the Republic of Korea. The Seoul Central District Court shall have jurisdiction over disputes between the Company and Users as the court of first instance, provided that this does not preclude a User from bringing an action in the court having jurisdiction over the User's place of residence under the Act on Consumer Protection in Electronic Commerce or other applicable law.

Addendum

These Terms take effect on July 28, 2026.
